1. Acceptance of Terms
Welcome to BookSolid. These Terms of Service ("Terms") govern your access to and use of the BookSolid appointment scheduling platform, website, and related services (collectively, the "Service") provided by BookSolid ("we," "our," or "us").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
BookSolid provides an online appointment scheduling platform designed for service-based businesses. The Service includes:
- Online booking pages for your clients
- Automated SMS and email appointment reminders
- Calendar integration and synchronization
- Client management tools
- Business analytics and reporting
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activities that occur under your account
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
4. Subscription and Payments
4.1 Subscription Plans
The Service is offered through subscription plans. Details of features and pricing are available on our website and may be updated from time to time.
4.2 Free Trial
We may offer a free trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial ends.
4.3 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on file for all applicable fees.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
4.5 Price Changes
We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property or privacy rights of others
- Send spam, unsolicited messages, or harassing communications
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated means to access the Service without permission
- Resell or redistribute the Service without authorization
- Use the Service for any illegal or fraudulent purpose
6. SMS and Email Communications
The Service sends automated SMS and email communications on your behalf to your clients. By using this feature, you represent and warrant that:
- You have obtained proper consent from recipients to receive such communications
- You will comply with all applicable laws regarding electronic communications (including CAN-SPAM, TCPA, GDPR, and similar regulations)
- You will honor all opt-out requests promptly
- The contact information you provide is accurate and up-to-date
You are solely responsible for ensuring compliance with messaging laws in your jurisdiction.
7. Your Data
7.1 Ownership
You retain ownership of all data you submit to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.
7.2 Data Responsibility
You are responsible for the accuracy and legality of Your Data. You must have all necessary rights and permissions to use and share any data you upload.
7.3 Data Export
You may export Your Data at any time through the Service. Upon account termination, you will have a limited period to export your data before it is deleted.
7.4 Backups
While we maintain regular backups, you are responsible for maintaining your own backup copies of important data.
8. Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by BookSolid and protected by intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Remove or alter any proprietary notices or labels
- Use our trademarks without written permission
9. Third-Party Integrations
The Service may integrate with third-party services (e.g., Google Calendar, payment processors). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services and make no warranties regarding their availability or functionality.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. You use the Service at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKSOLID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless BookSolid and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination:
- Your right to use the Service will immediately cease
- You remain liable for any outstanding fees
- Provisions that by their nature should survive termination will remain in effect
14. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and BookSolid regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
